• Post or transmit any unlawful, threatening, abusive, defamatory, obscene, libelous, offensive, pornographic, indecent, profane, or otherwise objectionable information of any kind, including without limitation, any transmissions constituting or encouraging conduct that would constitute a criminal offence, give rise to civil liability, or otherwise violate any law.
   
• Restrict or otherwise inhibit any other user from using and enjoying the Internet.
   
• Operate adult-oriented Sites (pornography). If you are unsure as to what constitutes adult material please email sales@squadwerks.com
   
• Run any process that stresses the resources of the server.
   
• Run any type of interactive real-time chat applications that require server resources. Remotely-hosted services are fully allowed.
   
• Run stand-alone, unattended server-side processes at any point in time on the server. This includes all daemons, such as IRCD.
   
• Run any IRC software or any software which connects to an IRC network.

2. Account Violations

We operate with a zero tolerance stance against any of the following activities:

Spamming: The sending of unsolicited e-mail, commonly referred to as spam, is prohibited under every circumstance. Any domain on our servers, which sends out spam, will have their account terminated without prior notice.

Denial of Service Attacks: Any account on our servers launching a "Denial of Service" or "DOS" against any other server will be terminated without prior notice.

Illegal Software Distribution: Any account on our servers found to be distributing pirated software or software intended to compromise the integrity of other commercial software, will be subject to immediate termination and removal from our servers.

Server Exploiting: Any account that is attempting or has attempted to successfully or unsuccessfully exploit any of the server's services including, but not limited to, the http server, ssh server, or the attempted gaining of root access will have their account terminated without prior notice.

Squadwerks™ reserves the right to require changes or disable as necessary any web site, account, database, or other component that does not comply with this policy. Squadwerks also reserves the right to make any such modifications during an emergency at our sole discretion.

3. Indemnification

You agree to indemnify, defend, and hold harmless Squadwerks™, 12Digits LLC from any and all liability, penalties, losses, damages, costs, expenses, attorney's fees, causes of action or claims caused by or resulting indirectly from your use of the service which damages either you, Squadwerks™, or any other party or parties without limitation or exception.

4. No warranties

Squadwerks™ makes no warranties or representations of any kind for the services being offered, unless otherwise noted. The service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including, but not limited to warranties of title, non-infringement, or implied warranties of merchantability or fitness for a particular purpose. No advice or information given by Squadwerks™ or its agents or employees shall create a warranty. Under no circumstances shall Squadwerks™ be liable for any direct, indirect, special, punitive, or consequential damages that result in any way from your use of or inability to use the service, or for third parties' use of the service to access your Web space, or to access the Internet or any part thereof, or your or any third parties' reliance on or use of information, services, or merchandise provided on or through the service, or that result from mistakes, omissions, interruptions, deletion of files, errors, defects, delays in operation or transmission, or any failure of performance.

You understand that by placing information on Squadwerks™ servers that such information becomes available to all Internet users and that Squadwerks™ has no way of limiting or restricting access to such information or protecting such information from copyright infringement. You assume total responsibility and risk for your use of Squadwerks™ servers and the Internet. It is solely your responsibility to evaluate the accuracy, completeness, and usefulness of all opinions, advice, services, and other information, and the quality and merchantability of all merchandise provided through Squadwerks™ or on the Internet generally.

Your use of the service is at your sole risk; Squadwerks™ is not responsible for files and data residing on your account. You agree to take full responsibility for files and data transferred and to maintain all appropriate backup of files and data stored on Squadwerks™ servers.

You agree not to interfere with the operation of the system. You further agree not to interfere with the proper operation of other systems reachable through the Internet, including any attempt at unauthorized access. You agree to adhere to system policies as published by Squadwerks™, including restrictions on services available with each service type, restrictions on certain features, and all other policies. You agree to abide by any and all future Squadwerks™ policy decisions.

5. Sharing of account space & resale restrictions

You agree and understand that the account you purchase is purchased either for yourself or on the behalf of a client (designers). You are not authorized to resell your space to a 3rd party. You accept full responsibility for the content contained within the bound's of your domain.

6. Payment & Other Information

You agree to provide Squadwerks™ with accurate and complete billing information including your legal name, address, email, and telephone number; changes to any of your billing information should be reported to Squadwerks™ within 30 days of their occurrence. You agree to supply appropriate payment, for the services rendered by Squadwerks™, in advance of the time period during which such services are provided. You agree and understand  that should you purchase Squadwerks™ custom designed artwork or web designs, one half of the total invoice is to be paid upfront before any work can be done, unless otherwise noted. You agree that until and unless you notify Squadwerks™ of your desire to cancel any or all services received, those services noted as recurring will be billed on a recurring basis. You agree that if your form of payment should become invalid, your account can and will be suspended until payment is made in order to restore the account to a status of good standing; there is a 3 day grace period. Due invoice notifications are dispatched to the email address on record 3 days prior to their due date; overdue notices are dispatched 1 day after the due date should the invoice go unpaid. After your account is suspended, as a courtesy, we will extend you a 3-day grace period in which to pay the overdue amount. If the amount overdue remains unpaid at conclusion of the 3-day grace period, your account will be automatically canceled.

7. Backups

Full server backups are made daily for the purposes of FULL server restorations in case of emergency. No guarantees are made as to the integrity of those backups. It is the client's responsibility to maintain updated local copies of their web content and information.

8. Money Back Guarantee

Each Squadwerks™ web hosting plan includes a full 15-day money back guarantee, no questions asked.

If you are not completely satisfied with our hosting services within the refund time period of 15 days, you will be given a full refund of all fees paid to Squadwerks™. No refund is available after midnight on the 15th day, Eastern U.S. time. Squadwerks™ Game and Teamspeak Servers, Custom Design work, Site Setup, and Domain Registrations are not eligible for the money back guarantee. Domain Registrations are strictly non-refundable.

Accounts cancelled/terminated by Squadwerks™ for violating these Terms of Service, Acceptable Use Policy,  do not qualify for the 15-day money back guarantee. Only first-time clients are eligible for a refund. For example, if you've had an account with us before, cancelled and signed up again, you will not be eligible for a refund.

9. Uptime Guarantee

Squadwerks™ guarantees a uptime of 99% for ANY Squadwerks™ hosting, game, or voice server in any calendar month. Should we not reach this we will credit your account with 100% of your monthly fee, upon receipt of a refund request. A server is considered down if it is unpingable and offline; we are not responsible for inaccessibility due to user (client) created problems. Server downtime is not counted if the downtime is due to a reconfiguration or change of the server at the request of the client (game/voice servers).

10. Cancellation Policy

Your account can be cancelled at any time. All cancellation requests must be submitted by the owner of the account via email to support@squadwerks.com. While there are no cancellation fees, you must cancel prior to your next billing cycle. Payments made up to your cancellation date are not refundable unless you are canceling within our 15-day money guarantee period. You must include your account username, password, and last 4 digits of the billed credit card for verification.

11. Agreement Acknowledgement

This agreement supersedes any written, electronic, or oral communication you may have had with Squadwerks™ or any agent or representative thereof, and constitutes the complete and total agreement between the parties. Should any provision of this agreement be determined to be invalid or unenforceable, all other provisions shall remain in full force and effect and said provision shall be reformed only to the extent necessary to make it enforceable.

You must be at least 18 years old to register for service or have permission from a parent or legal guardian. By accepting this Agreement, you represent that you meet this age requirement or have permission to do so. Minors who use our services are assumed to have parental or legal guardian consent to do so.

By placing and continuing to maintain or place information on Squadwerks™ servers you are stating and acknowledging that you have read the aforementioned terms and conditions and that you understand such terms and conditions. You also agree to be bound by the aforementioned terms and conditions for the duration of your account.
